Introduction

This page sets forth the definitions of the Units of Measurement ("UoMs", meaning the measurement of license quantities for Netwrix Software and SaaS offerings) used in Netwrix product licensing, including the metrics by which Software licenses are counted and measured, including for usage verification purposes. These definitions apply to all Netwrix Products and Services ordered pursuant to the Netwrix Master Software and Services Agreement or End User License Agreement (as applicable), or any other Agreement or Order between Netwrix and its Customers, and are incorporated by reference into any such Agreement or Order.

Capitalized Terms. Capitalized terms that are used and not defined herein have the meanings given to them in the then-current Netwrix Master Software and Services Agreement ("MSSA") or End User License Agreement, as applicable, located at https://netwrix.com/en/legal/eula/.

Disclaimer — Netwrix Sole Discretion. In the event of any discrepancy, ambiguity, or dispute regarding the applicability of any definition set forth herein, or the method by which any Unit of Measurement or license metric is calculated or counted, such matter shall be determined by Netwrix in its sole and exclusive discretion. Netwrix's determination shall be final and binding on the Customer.

Current Definitions

The following definitions govern the measurement of license quantities for Netwrix Software and SaaS offerings. Unless otherwise specified in the applicable Order, these definitions apply to all Orders placed after the Last Updated date shown above.

Admin User

An existing user account with elevated access rights used to authenticate an individual person to perform administrative activities for an indefinite duration.

Device

Any electronic device through which one or more persons engage with the Software — including desktops, laptops, phones, tablets, workstations, servers, and kiosks.

  • Counting: Each uniquely identifiable Device (e.g., via hostname, serial number, UUID, or similar mechanism) is counted as a single Device. Virtual machines are counted as distinct Devices. The Customer must maintain a quantity of licenses equal to or greater than the maximum number of Devices that interact with the Software at any point during the Subscription Term.

Identity

An “Identity” means a unique identifier for an object or user that is managed by the Products.

  • Counting: Each uniquely identifiable Identity — determined, for example, by SAM account name, User Principal Name (UPN), Employee ID, or a similar mechanism — is counted as a single Identity. The Customer must maintain an aggregate quantity of licenses equal to or greater than the maximum number of Identities managed by the Products at any point during the Subscription Term. Exclusions: Disabled accounts, computer objects (unless separately licensed), group objects, and inter-domain trust accounts are excluded from the Identity count.

Terabyte (TB)

A unit of digital information storage equaling 1,024 gigabytes (GB), used to measure the volume of data subject to processing, scanning, or governance by the Software.

  • Counting: The total volume of data in scope is measured in Terabytes at the time of initial deployment and at each true-up or renewal measurement event. Measurement methodology will be specified in the applicable Order Form or Product documentation.

Workstation

Any device (physical or virtual) on which the Software is installed, maintained, or accessed, or that otherwise engages with the Software. Workstation includes, without limitation, desktop computers, laptops, mobile phones, tablets, servers, kiosks, and endpoints.

  • Counting (30-Day Rolling Period): Each uniquely identifiable Workstation — determined, for example, by hostname, serial number, UUID, or a similar mechanism — is counted as a single Workstation. The Customer must maintain an aggregate quantity of licenses equal to or greater than the maximum number of Workstations that interact with the Software within each 30-day rolling period of the Subscription Term (each a "License Window"). Any Workstation active during a License Window counts toward the total for that License Window.

Units of Measurement by Product

The table below identifies the applicable Unit(s) of Measurement for each Netwrix Product. Unless otherwise specified in the applicable Order, the UoMs listed below govern license measurement for the corresponding Products.

General Counting Rules

The following general rules apply to all Units of Measurement unless expressly superseded by the applicable definition or Order:

  1. License quantities are measured at the time of Order execution and at each audit, true-up, or renewal event, as applicable.
  2. License quantities reflect the maximum number of units active at any point during the Subscription Term.
  3. Any unit that is added to or removed from the managed scope during the Subscription Term is counted in accordance with the applicable License Window or maximum-count measurement methodology set forth in the relevant definition.
